This is a real estate exchange agreement, for two parties wishing to exchange real estate with each other (plus some cash on the part of one party) so one party can avail themselves of the benefits of a 1031 tax exchange (so they dont have to pay taxes on the money since theyre keeping it in real estate). It is a unique agreement in that it provides for the real estate to be exchanged, rather than purchased. Very useful for attorneys and those involved in frequent real estate transactions.
